SHARE PURCHASE AGREEMENT

This Share Purchase Agreement ("Agreement") is entered into by and between Khalifa Holdings W.L.L. ("Seller") and the Purchaser named in Schedule 1, governed by the laws of the Kingdom of Saudi Arabia.

Sale and purchase
Subject to the terms of this Agreement, the Seller shall sell, and the Purchaser shall purchase, the Shares free from all Encumbrances.[1]

Representations and warranties
The Seller represents and warrants that it has full corporate power and authority to execute this Agreement, subject to the matters disclosed in the Disclosure Letter.[2]
